1. Acceptance of these terms
By accessing fransfaces.com (the “Site”), or by signing into the digital proof reader, joining the waitlist, applying to be a partner, or otherwise interacting with the Site, you (“you” or “User”) agree to be bound by these Terms of Use (the “Terms”) and by our Privacy Notice, which is incorporated by reference. If you don't agree, please don't use the Site.
The Site is operated by Frances Catania Studio (“Fran's Faces,” “we,” “us,” or “our”), an independent publishing and art project based in the Hudson Valley, New York, United States.
2. Eligibility
You may use the Site if you are at least 16 years old. To place an order, become a partner, or enter into any commercial relationship with us, you must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and able to form a binding contract under applicable law. By doing those things you represent that you meet these requirements.
3. Accounts and sign-in
The digital proof reader at /book is invitation-only. If we've invited you to review or edit the proof, we will share an email address and password directly with you. You agree to:
- Keep your credentials confidential and not share them with anyone, including other invited reviewers.
- Tell us immediately at hello@fransfaces.com if you suspect your credentials have been used by someone else.
- Not attempt to bypass authentication, rate limits, or any other security feature of the Site.
We may revoke access at any time, in particular if we believe the credentials have been compromised or if you breach these Terms.
4. Intellectual property
All content on the Site — including the portraits, monologues, affirmations, drink-order text, layouts, photography, code, and the Fran's Faces name and brand — is owned by us or our licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws.

You may view, share a link to, and quote brief excerpts of the Site for personal, non-commercial purposes, with attribution. Any other use — reproduction, adaptation, AI training, public display, or commercial use — requires our prior written permission. Please email hello@fransfaces.com before doing any of those things.
5. Permitted use
You may:
- Read the public marketing pages, the “Look Inside” sample, and any pages we've invited you to access.
- Join the waitlist or apply to be a partner using your real contact details.
- Link to public pages, share excerpts on social media with attribution, and forward our emails to friends.
6. Prohibited conduct
You agree NOT to:
- Use the Site to violate any law or the rights of any person.
- Impersonate anyone or submit false information in any form.
- Scrape, crawl, or systematically download Site content, except as a search engine following our robots.txt directives.
- Reproduce, distribute, train AI models on, or create derivative works from the artwork, monologues, affirmations, or any other Site content without our prior written permission.
- Reverse-engineer, decompile, or attempt to derive the source code of any part of the Site we haven't open-sourced.
- Attempt to access any non-public area of the Site, bypass authentication, or interfere with any security feature, rate limit, honeypot, or anti-abuse mechanism.
- Upload viruses, malware, or any code that could damage or disable the Site or another user's system.
- Send unsolicited communications, spam, chain messages, or any commercial solicitation through any feature of the Site.
- Use the Site in any way that could create a hostile environment for any user, employee, or contractor.
7. User submissions
When you submit information to us — through a form, email, or partner application — you grant us a non-exclusive, worldwide, royalty-free license to use that information for the purpose for which it was submitted (e.g., to evaluate your partner application, to send the updates you've consented to). We do not claim ownership of your business information.
You represent that everything you submit is accurate, that you have the right to submit it, and that it does not infringe anyone's rights or any law.
We may refuse, edit, or delete any submission at our discretion, including (without limitation) submissions that violate these Terms, are abusive, or are flagged by our anti-abuse systems.
8. Reservations, pre-orders, and Founders Edition
The waitlist and Founders Edition reservation forms collect contact information only. No card is charged at signup. We will confirm specifications, pricing, taxes, shipping, estimated delivery, and your right to cancel by email before any order is placed.
Until you place a confirmed order through the dedicated checkout, no binding contract of sale exists. Pricing and product details on the Site are descriptions of intent, not offers, and may change before launch.
For confirmed orders shipped to consumers in the EU/UK, you will receive your statutory cancellation rights with the order confirmation. US consumer rights vary by state and will be set out at checkout.
9. Third-party links and services
The Site may include links to third-party websites or use third-party services (e.g., Vercel for hosting, an email service provider for transactional email). We are not responsible for the content, privacy practices, or terms of those services. Following a link is at your own risk.
10. Disclaimers
The Site and any digital materials we make available are provided “as is” and “as available,” without warranty of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or harmful components, or that any defect will be corrected.
Some jurisdictions don't allow the exclusion of certain implied warranties. To the extent your local law gives you warranties or rights we cannot disclaim, those rights remain in full force, and the disclaimers above apply only to the maximum extent permitted.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Frances Catania Studio, Frances Catania, Nicholas Catania, or any of our respective affiliates, employees, or contractors be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages;
- Loss of profits, revenue, business opportunities, goodwill, or data;
- Any matter beyond our reasonable control;
even if we have been advised of the possibility of such damages.
Our aggregate liability arising out of or related to these Terms or the Site, in any 12-month period, will not exceed the greater of (a) the total amount you paid us in that period, or (b) one hundred US dollars (USD $100).
What this clause does NOT limit: liability for our own gross negligence or willful misconduct; for death or personal injury caused by negligence; for fraud or fraudulent misrepresentation; or any liability that cannot be limited or excluded under applicable consumer-protection law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Frances Catania Studio and its principals from and against any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the Site, or (c) your infringement of any third-party right.
13. Termination
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, including if we believe you have violated these Terms. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
14. Changes to these Terms
We may update these Terms as the project grows. Material changes will be highlighted at the top of this page and, where required by law, communicated to subscribers by email. Continued use of the Site after an update means you accept the revised Terms; if you don't agree, please stop using the Site.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. The exclusive venue for any action arising out of or related to these Terms or the Site will be the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
Before filing any claim, please email hello@fransfaces.com and describe the issue. We commit to working with you in good faith for at least thirty (30) days to resolve the matter informally before any formal proceedings.
If you are an EU/UK consumer, you may also have rights under your local consumer-protection law to bring a claim in the courts where you reside; nothing in this section limits those rights.
16. Severability and entire agreement
If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary or, if modification isn't possible, severed; the remaining provisions will stay in full force.
These Terms, together with the Privacy Notice, are the entire agreement between you and Frances Catania Studio regarding the Site and supersede any prior agreements on the subject.
No waiver of any term will be deemed a continuing waiver. You may not assign these Terms without our prior written consent; we may assign them, in whole or in part, in connection with a merger, acquisition, or sale of substantially all assets of Frances Catania Studio.
